Our Corporate Law Department advises the firm’s national and international client base on a broad range of corporate transactions and commercial law matters. Our focus is always on the practical and effective implementation of the business goals set by our clients.

We work closely with our Commercial Property and Banking Departments to achieve the appropriate structure for your transactions. The department specialises in advising on a variety of corporate transactions and Company, EU and Competition Law. These areas include:

  • Mergers and Acquisitions – acquisitions and disposals, mergers, management-buyouts and buy-ins
  • Commercial Agreements – across a broad range of contracts and agreements, including franchising, distribution, supply and agency agreements
  • Corporate Governance - directors’ rights and duties, shareholders’ rights and meetings and on companies’ memoranda and articles of association
  • Regulatory Compliance – matters ranging from the regulatory aspects of data protection to dealings with the Irish Financial Services Regulatory Authority
  • Joint Ventures – advising on a range of collaborative structures, including joint ventures, shareholders and partnership agreements
  • Company Secretarial – providing a comprehensive company secretarial function including company formations, reorganisations and company restorations
  • Corporate Recovery and Insolvency – advising on a range of issues including areas such as cross border insolvency, voluntary and compulsory liquidations and receiverships
  • Pensions – advising a range of pension funds and trustees on complex issues associated with pensions, common fund management and employee incentive schemes
